TERMS AND CONDITIONS - SOEATABLE RESTAURANT
1. Introduction
1.1 Welcome to SOEATABLE RESTAURANT (“SOEATABLE”, “we”, “our”, or “us”). These
Terms and Conditions (“Terms”) govern your use of our restaurant premises,
website, online platforms, and all related services including dine-in, takeaway,
and delivery (collectively, the “Services”).
1.2 By accessing or using any of our Services, you agree to comply with and be
bound by these Terms. If you do not agree, please discontinue the use of our
Services.
1.3 These terms of use govern the use of our website and mobile application
(collectively called the “Platform”) and define the legally binding terms on which
you access, browse, register or otherwise use the Platform to enjoy our services.
The terms of use apply to all “Users” of the Platform including guest Users.
1.4 You understand that a breach of any of these terms of use may result in your rights
to use the services on the Platform being restricted, suspended or withdrawn.
1.5 We may amend these terms of use at any time by amending this page. Please
check this page from time to time to take notice of any changes we make as
they will be binding on you. If you are an existing User, we will duly inform you of
any amendments that are made, by sending a prompt on the mobile
application.
1.6 If you do not agree to these terms of use, please do not access this Platform or
use the services.
2. Definitions
2.1 Customer / You / Your – Any individual, group, or entity using our Services or visiting
SOEATABLE RESTAURANT.
2.2 Premises – The physical location(s) of SOEATABLE RESTAURANT.
2.3 Menu Items – All food, beverage, and dessert offerings listed on our menu or
displayed online.
2.4 Order – Any purchase made for dine-in, takeaway, or delivery.
3. Our Services
3.1 SOEATABLE provides quality dining, takeaway, and delivery services within
designated locations.
3.2 We reserve the right to:a) Modify our menu, prices, and operating hours at any time without prior
notice.
b) Refuse service to any person engaging in inappropriate, unlawful, or
disruptive behaviour.
c) Limit seating, entry, or reservations where necessary for operational or
safety reasons.
d) All services are subject to availability and compliance with applicable food
and safety regulations.
3.3 We do not guarantee that our Platforms or any of the Services will always be
available, uninterrupted or fault-free. We will not be liable to any User of the
Platform if for any reason the Platform is unavailable at any time or for any period.
3.4 We do not guarantee that our Platform or any content on it will be free from errors
or omissions.
3.5 You are responsible for making all arrangements necessary to have access to our
Platforms and for ensuring that all persons who access the Platform through your
User profile are aware of these terms of use and other applicable terms and
conditions and that they comply with them.
4. Reservations and Bookings
4.1 Reservations can be made via phone, in person, or through our official online
channels or App.
4.2 Reservations are confirmed only upon acknowledgment from SOEATABLE. We
reserve the right to cancel or modify bookings due to unforeseen circumstances.
4.3 Late arrivals of more than 20 minutes may result in forfeiture of the reserved table.
4.4 For group reservations or private events, a deposit may be required to secure
booking.
5. Orders and Payment
5.1 All prices are quoted in Nigerian Naira (₦) and include applicable taxes unless
otherwise stated.
5.2 Payment options include cash, POS, bank transfer, or verified online payment
platforms.
5.3 Once an order is confirmed, cancellations or modifications are not guaranteed
and are subject to management approval.
5.4 For deliveries, payment shall be required in advance.
5.5 SOEATABLE shall not be liable for delivery delays caused by traffic, weather, or
third-party logistics providers.
6. Food Allergies and Dietary Preferences
6.1 We prepare all meals with utmost care; however, cross-contamination may
occur.
6.2 We cannot guarantee that any menu item is completely free of allergens (such
as nuts, dairy, gluten, or shellfish).
6.3 Customers with allergies or dietary restrictions must inform our staff clearly before
ordering.
6.4 SOEATABLE shall not be responsible for any allergic reactions arising from
undisclosed conditions or sensitivities.
7. Conduct on Premises
7.1To maintain a pleasant and safe environment for all guests while waiting for your
order:
a) Disorderly, abusive, or unlawful conduct will not be tolerated.
b) Smoking or vaping is not permitted only in designated areas, if applicable.
c) Customers are responsible for any damage caused to property or facilities.
d) Management reserves the right to request any individual to leave the
premises for misconduct or violation of these Terms.
8. Delivery and Takeaway Policy
8.1 Delivery services are available within specified areas and are subject to
operational capacity.
8.2 Delivery times are estimates and may vary due to external factors such as
weather or traffic.
8.3 Accurate delivery details must be provided by the customer; SOEATABLE is not
responsible for failed or delayed deliveries due to incorrect information.
8.4 Once delivered, food should cannot be returned to SOEATABLE, except where
the conditions in Paragraph 9 below.
9. Refunds, Returns, and Cancellations
9.1SOEATABLE strives for customer satisfaction. However, All refund decisions are at
the discretion of management.
9.2 Conditions for Return of Delivered Food: Once food has been delivered to the
customer, it may only be returned or replaced under the following conditions:
a) Wrong Order Delivered
i. If the food delivered is not what was ordered (e.g., wrong item,
missing item, or incorrect quantity), the customer may request a
return or replacement within one (1) hour of delivery.
ii. The food must remain untouched, unopened, and in its original
packaging.a) Damaged or Spoiled Food
i. If the food is spoiled, contaminated, or damaged upon arrival due
to a verifiable fault on the part of SOEATABLE (e.g., improper
packaging or handling), the customer must report the issue
immediately upon delivery.
ii. Customers are required to provide evidence (e.g., photos or videos)
to support the claim.
a) Foreign Object or Contamination
i. If a foreign object (e.g., hair, plastic, or other non-food material) is
found in the food, and verified to have occurred before delivery, a
full replacement or refund will be issued.
ii. The contaminated portion of the food must be returned for
inspection.
a) Late or Improper Delivery
i. If delivery exceeds the maximum promised time frame and the food
arrives in an unfit condition (cold, soggy, or spilled), a partial refund
or replacement may be offered at the discretion of management.
a) Managerial Discretion/Customer Safety Concern
i. In any other exceptional case where management determines that
the quality, safety, or hygiene of the food was compromised before
receipt, SOEATABLE may authorize a return, replacement, or refund.
9.3 Return Procedure
a) The customer must notify SOEATABLE through phone, WhatsApp, or email
within the time frame stated above.
b) The food must be returned in its original container and no more than 10%
consumed.
c) SOEATABLE will verify the complaint and determine whether a refund or
replacement is appropriate.
d) Refunds (where applicable) will be processed within 3–5 business days after
verification.
9.4 Non-Returnable Conditions
Food cannot be returned or refunded if:
a) It has been fully or substantially consumed.
b) The issue arose from customer mishandling (e.g., improper storage after
delivery).
c) The complaint is made beyond the allowable time frame.
d) The food was prepared according to customer’s specific request and
meets standard quality.
9.5 Refunds may be granted only if an order was incorrect, incomplete, or of
substandard quality, subject to verification.
9.6 Complaints must be lodged within 24 hours of receipt or dining. Refunds will not
be processed for partially or fully consumed food except where required by law.
9.7 Prepaid event bookings or deposits are non-refundable unless cancellation
occurs at least 48 hours before the scheduled time.
10. Intellectual Property
All materials, including our logo, menu, recipes, photos, website content, and
marketing materials, are the intellectual property of SOEATABLE RESTAURANT.
No part may be reproduced, distributed, or reused without written consent from
management.
11. Privacy Policy
11.1 SOEATABLE respects your privacy.
11.2 Any personal information collected during reservations, orders, or interactions will
be used solely for providing our Services and for internal record-keeping.
We will not sell, share, or disclose your information to third parties except as
required by law. For detailed information, please refer to our Privacy Policy
(available at our premises or website).
12. Limitation of Liability
12.1 To the maximum extent permitted by Nigerian law:
a) SOEATABLE shall not be liable for indirect, incidental, or consequential
damages arising from the use of our Services or consumption of our food.
b) Our total liability in any circumstance shall not exceed the total amount
paid for the order or service in question.
c) Customers accept that consumption of food is at their own risk, especially
when not consumed promptly or properly stored after delivery.
13. Health and Safety Compliance
13.1 At SOEATABLE RESTAURANT, we are fully committed to maintaining the highest
standards of food safety, hygiene, and health compliance in all our operations.
Our policies are designed to protect both our customers and staff while ensuring
full compliance with all applicable laws and regulations in Nigeria.
13.2 Regulatory Compliance
SOEATABLE operates in accordance with:
a) The National Agency for Food and Drug Administration and Control
(NAFDAC) food handling and safety regulations;
b) The Federal Competition and Consumer Protection Act (FCCPA);
c) The Enugu State Ministry of Health and Environmental Health Services
regulations; and
d) The Enugu State Waste Management Authority (ESWAMA) requirements on
waste management, sanitation, and environmental safety.
13.3 Food Preparation and Handling
a) All meals are prepared in a clean, sanitized environment by trained
personnel who adhere to strict hygiene standards.b) Food preparation areas, utensils, and storage equipment are cleaned and
disinfected regularly.
c) We source ingredients only from approved and reputable suppliers,
ensuring quality and freshness.
d) Temperature control is maintained for all perishable items to prevent
contamination or spoilage.
e) Staff handling food wear appropriate protective gear (gloves, hairnets,
aprons, etc.) during service.
13.4 Staff Health and Training
a) All kitchen and service staff undergo periodic medical checks in
compliance with public health regulations.
b) Employees receive ongoing training on food safety, cross-contamination
prevention, waste management, and emergency hygiene practices.
c) Any staff member showing symptoms of illness is temporarily restricted from
food handling duties until medically cleared.
13.5 Customer Safety on Premises
a) Our premises are maintained in a clean, safe, and well-ventilated
condition.
b) Fire safety equipment (extinguishers, alarms) and first aid kits are readily
available and regularly inspected.
c) Smoking is restricted to designated outdoor areas (if any).
d) Wet floors or potentially hazardous areas are clearly marked to prevent
accidents.
e) Customers are expected to comply with posted safety signs and staff
instructions for their well-being.
13.6 Food Storage and Delivery
a) All takeaway and delivery items are packaged in sealed, food-grade
containers to ensure safety and hygiene.
b) Delivery personnel are trained to handle food safely and maintain proper
temperature during transit.
c) Customers are advised to consume delivered food within 2 hours of receipt
or store appropriately to maintain freshness and safety.
13.7 Waste Management and Environmental Practices
a) SOEATABLE ensures proper segregation, collection, and disposal of food
waste in line with environmental standards.
b) We actively promote eco-friendly packaging and responsible waste
reduction initiatives.
c) Used cooking oils and non-biodegradable materials are disposed of
through licensed waste contractors.
13.8 Emergency and Public Health Situations
a) In cases of public health concerns (e.g., pandemics, food recalls, or
contamination alerts), SOEATABLE will comply fully with directives from
relevant government agencies.
b) Preventive measures such as contactless service, temperature checks, or
sanitization stations may be implemented as required.
c) Customers are encouraged to cooperate with any temporary health or
safety protocols introduced for collective protection.
13.9 Customers are expected to follow posted safety notices and cooperate with staff
in emergency situations.
14. Events and Private Functions
14.1For private events hosted at SOEATABLE:
a) A non-refundable deposit may be required.
b) Menu selections and guest count must be confirmed at least 7 days before
the event.
c) Any damages or extra cleaning costs resulting from the event will be
charged to the host.
d) Event duration and facilities usage must comply with prior arrangements.
15. Limitation of Liability
15.1Nothing in these terms of use excludes or limits our liability for personal injury arising
from our negligence or fraudulent misrepresentation or any other liability that
cannot be excluded or limited by Nigerian law.
15.2 To the extent permitted by law, we exclude all conditions, warranties,
representations or other terms which may otherwise apply to our Platform or any
content on it, whether express or implied.
15.3 We assume no responsibility for the content of websites linked to our Platform.
Such links should not be interpreted as endorsement by us of those linked
websites. We will not be liable for any loss or damage that may arise from your
use of them.
15.4 As a User, please note that we only provide our Platform for domestic and private
use. You agree not to use our Platform for any commercial or business purposes
without written unequivocal consent from us and we have no liability to you for
any loss of profit or loss of business opportunity when our Platform is used without
proper consent.
15.5 To the extent permitted by the law, SOEATABLE shall not be liable to you for any
indirect punitive, incidental, special or exemplary damages arising out of your
inability to use our Services.
15.7 We are not liable for any damage which may be incurred by you from
unauthorised use of, tampering or access to your SOEATABLE account.15.8SOEATABLE is not liable and you agree not to hold SOEATABLE liable for any
damages or losses resulting either directly or indirectly from:
a) delays or disruptions in our Services, software, and Platform;
b) your use or inability to use or access our Services or Platform;
c) a suspension or other actions taken with your SOEATABLE account;
d) any access or use of our services in a manner that is inconsistent with these
terms of use or any error, inaccuracies, losses or omissions in or to any data
provided to us; and
e) any damage caused by a virus or other technologically harmful material
that may infect your electronic devices due to the use of our Platform or
any website linked to it.
15.9 We will not be liable to any User for any loss or damage, whether in contract, tort
(including negligence), breach of statutory duty, or otherwise, even if foreseeable
arising in connection with use of or inability to use our Platform.
16. Indemnification
16.1 You agree to indemnify, defend and hold SOEATABLE harmless against any loss,
damage, liability and claim due to or arising out of your:
a) Use or misuse of our Services;
b) use or misuse of the OTC Pharmaceuticals being delivered; and
c) breach of these terms of use or any applicable law.
17. Restricted Activities
17.1 Our Platform must be used only for lawful purposes. You must not, and must not
allow another person to use it for any purpose other than which we made it
available.
17.2 As a user of our Services and Platform, you agree not to use them:
a) in a way that breaches the provision of any applicable law or regulation;
b) in a way that is not authorized by us or detrimental to us;
c) for any fraudulent purpose or act (Including provision of false
identification); and
d) to modify, adapt, decipher, disassemble or reverse engineer any of the
software making up a part of our Platform.
18. Force Majeure
SOEATABLE will not be held liable for failure to perform obligations caused by
events beyond our reasonable control, including but not limited to natural
disasters, strikes, public unrest, pandemics, or government restrictions.
19. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance
with the laws of the Federal Republic of Nigeria. Any disputes arising hereunder
shall be subject to the exclusive jurisdiction of the courts of Enugu State, Nigeria.
20. Updates and Modifications
SOEATABLE may update these Terms from time to time.
Any updates will take effect upon being posted at our premises or on our website.
Continued use of our Services after such updates constitutes acceptance of the
revised Terms.
